EASA AOC Acquisition Opportunity

3 min read

Brookfield Aviation Finance is representing an acquisition opportunity involving a European aviation platform with an established EASA Air Operator Certificate (AOC), Continuing Airworthiness Management Organisation (CAMO) approval, and Third Country Operator (TCO) authorisation. The platform provides a potential route for aviation operators and investors seeking to establish or expand operations within the European aviation market.

The opportunity combines an existing regulatory framework, established Civil Aviation Authority relationships, and a scalable operating structure. Subject to regulatory approvals and reactivation requirements, the platform could support a range of aviation business models and future fleet expansion strategies.

Brookfield Aviation Finance is representing an attractive acquisition opportunity to acquire a  European aviation platform with a fully structured EASA AOC, CAMO and Third Country Operator (TCO) approvals. This provides the foundation for an operator seeking to establish or expand its presence within the European aviation market. The opportunity provides an investor with a regulatory and operational platform from which to pursue a European aviation strategy, potentially minimising the time and intricacy associated with establishing a new operating structure from the ground up.

The AOC is currently maintained in dormant status, having been voluntarily placed into this position to minimise ongoing overhead costs. The business benefits from a clean regulatory history, with no enforcement history, along with an established relationship with the local Civil Aviation Authority (CAA). For a prospective acquirer, the existing regulatory infrastructure represents a significant strategic component of the transaction.

A key attraction of the platform is its potential scalability. Subject to regulatory approval and completion of the necessary reactivation and certification processes, an incoming owner could develop the operation across a range of aviation business models.

The existing structure can also provide a foundation for introducing additional aircraft types (passenger, cargo, narrowbody, or widebody) as the operation develops.  Experienced key postholders can be retained as part of the transition, providing continuity and supporting the regulatory execution and reactivation process.

The current operation includes two Jet-A-fuelled light twin-engine aircraft on lease. While the existing fleet provides an operational foundation, the broader investment proposition centres on the established regulatory platform and its potential to support a larger-scale aviation operation.

An acquirer could therefore assess the existing fleet alongside its own aircraft strategy and determine the most appropriate direction for the business following completion.
